Terms of Service

Welcome to Filect. These Terms of Service ("Terms") govern your access to and use of the Filect desktop application, website, and related services (collectively, the "Service"). By downloading, installing, or using Filect, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Filect is a desktop application that uses artificial intelligence to help you search, categorize, and organize files on your computer. The Service is available for macOS and Windows and requires an active subscription to access most features after the free trial period.

2. Eligibility and Account

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use Filect. By creating an account, you confirm that the information you provide (email address, payment details, name) is accurate and that you are authorized to enter into this agreement.

You are responsible for keeping your account credentials secure and for any activity that occurs under your account. Notify us immediately at support@filect.io if you suspect unauthorized access.

3. Free Trial

New customers may be offered a free trial period when they subscribe. The free trial is limited to one per person and one per payment method. If we detect that a payment method or email has already been used for a previous trial, we reserve the right to refuse the trial and require an immediate paid subscription to continue.

Your trial automatically converts to a paid subscription at the end of the trial period unless you cancel before it ends. You can cancel anytime from your account page at filect.io/account.

4. Subscriptions, Billing, and Cancellation

Filect is offered as a recurring subscription billed monthly or annually depending on the plan you choose. All payments are processed by our payment provider (Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Cancellation: You can cancel at any time from your account page. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Failed payments: If a payment fails, we will retry the charge over a period of approximately three weeks while continuing to provide access during that window. If all retries fail, your subscription will be cancelled and access will end.
• No refunds: Every customer gets a 10-day free trial to evaluate Filect in full before paying, so all subscription payments are non-refundable. We do not issue refunds for partial billing periods, unused time, or change of mind. The only exception is where a refund is required by applicable consumer-protection law. If you believe a charge was made in error, contact support@filect.io.
• Price changes: We may change subscription pricing with at least 30 days' notice by email. Price changes apply to the next billing cycle after the notice period.

5. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where this restriction is prohibited by law.
• Use the Service to process files that you do not have the legal right to access or organize.
• Use the Service to upload, process, or store any content that is unlawful, harmful, harassing, defamatory, or that infringes any third-party right.
• Attempt to circumvent any limits, billing, or security mechanisms of the Service (including creating multiple accounts to claim repeated free trials).
• Resell, sublicense, or commercially redistribute the Service without our prior written consent.

We may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms.

6. Your Files and Data

Filect processes file metadata and contents to power its AI features. We do not store your files on our servers. Detailed information about how data is handled, including what is sent to third-party AI providers, is in our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

Filect, including its software, branding, and content, is owned by us and is protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, for the duration of your active subscription, solely as permitted by these Terms.

You retain all rights to your own files. We claim no ownership over content you process with Filect.

8. Third-Party Services

The Service relies on third-party providers including OpenAI (for AI processing), Stripe (for payments), Supabase (for authentication and data storage), and Resend (for transactional email). Your use of the Service is also subject to the terms and privacy policies of these providers where applicable.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

While we work hard to make Filect reliable, AI-generated categorizations and search results may occasionally be inaccurate. You are responsible for reviewing Filect's suggestions before applying changes to your file system. We recommend keeping regular backups of important files.

10. Limitation of Liability

To the maximum extent permitted by law, Filect and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claim arising under these Terms is limited to the greater of (a) the amount you paid us in the twelve months immediately preceding the claim, or (b) one hundred US dollars (US$100).

Nothing in these Terms limits any liability that cannot be limited under applicable law (for example, liability for gross negligence, fraud, or statutory consumer rights in your jurisdiction).

11. Termination

You may stop using the Service at any time and may cancel your subscription as described in Section 4. We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the Service. On termination, the provisions of these Terms that by their nature should survive (including sections on intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will notify active subscribers by email or via an in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Greece, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the competent courts of Athens, Greece, except where applicable consumer-protection law grants you the right to bring proceedings in your country of residence.
